1. Acceptance of Terms

By accessing or using CodePanda, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access or use the service.

2. Description of Service

CodePanda is an AI-powered website builder that enables users to create and customize websites without coding experience. It offers both an open-source version that supports Bring-Your-Own-Model (BYM) and a hosted version with preselected AI models for enhanced functionality.

3. User Accounts

When creating an account with us, you must provide accurate, complete, and up-to-date information at all times. Failure to do so constitutes a breach of these Terms and may result in immediate termination of your account.

4. User Conduct

You agree not to use CodePanda to:

  • Violate any applicable laws or regulations.
  • Infringe upon the rights of others.
  • Transmit any material that is unlawful, offensive, or malicious.
  • Impersonate any person or entity.
  • Interfere with or disrupt the service, servers, or networks connected to the service.

5. Intellectual Property

The service and its original content, features, and functionality are and will remain the exclusive property of CodePanda and its licensors.

6. Your Rights

CodePanda makes no claim to ownership of:

  • All websites, applications, or solutions you create using our Services.
  • Custom implementations and modifications made by you.
  • Your business logic, content, and design structure.

You may freely:

  • Use generated content commercially.
  • Modify and adapt generated content.
  • Distribute, sell, or open-source websites built using our platform.

7. Pricing and Billing

Available Plans

Credit Usage

  • Monthly Credits: Each subscription plan includes a monthly allocation of credits.
  • Usage-Based Consumption: Credits are consumed when using various platform features and services.
  • Credit Refresh: Credits are automatically renewed at the start of each billing cycle.
  • Credit Expiration: Unused credits do not carry over to the next billing cycle.
  • Credit Monitoring: Users are responsible for monitoring their credit usage to avoid service interruptions.

Payment Details

  • Payment Method: Credit Card only.
  • Payment Currency: US Dollars.
  • Automatic Renewal: Plans renew automatically at the end of each billing cycle unless canceled.

Billing Issues

  • If payment fails or the card is expired, the account will change to inactive status.
  • Reactivation requires resolving payment issues and renewing the subscription.
  • Inactive periods will not be credited or extended.

Subscription Management

  • Cancellation takes effect at the end of the current billing cycle.
  • Subscription cancellation does not trigger a refund for the current billing period.
  • Users can continue using their remaining credits until the end of the current billing cycle.

8. Refund Policy

Eligibility for Refunds

Refunds are considered under the following circumstances:

  • Technical Issues: Preventing access to or use of features.
  • Defective Service: If the service is not functioning as intended.

Refund Requests

  • Contact support@codepanda.ai with purchase details and issue description.
  • We may request additional information to investigate the issue.
  • Resolution within 5–7 business days; refunds are processed to the original payment method.

Refund Processing

  • Allow up to 10 business days for the refund to appear in your account.
  • Refunds for subscriptions are only considered if requested within 14 days of initial purchase, provided the service has not been used extensively.

Exceptions

  • Change of Mind: Refunds are not available for change of mind.
  • Violations of Terms: No refunds if you violate these Terms of Service.

9. Termination

We reserve the right to terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the service will cease immediately.

10. AI Website Builder Limitations and User Responsibility

CodePanda uses artificial intelligence (AI) technology to help users build and customize websites. Users acknowledge and agree that:

  • Website content generated by our AI may require additional editing and refinement.
  • AI-generated websites are meant to serve as a starting point for your web presence.
  • Users are responsible for reviewing and customizing generated websites before publishing.
  • Users assume full responsibility for all content that appears on their published websites.
  • CodePanda cannot guarantee that generated websites will meet specific business or legal requirements for all industries and use cases.

11. Limitation of Liability

In no event shall CodePanda, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of or inability to access the service.

12. No Guarantee of Service

We do not guarantee uninterrupted availability or functionality of the service. We reserve the right to modify, suspend, or discontinue the service at any time without notice or liability.

13. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice before any new terms take effect. What constitutes a material change will be determined at our discretion.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of California, without regard to its conflict of law provisions. Any disputes must be resolved exclusively in the state or federal courts located in San Francisco, California.

15. Privacy and Data Protection

Your use of CodePanda is also governed by our Privacy Policy, which explains how we collect, use, and protect your data. By using CodePanda, you agree to the terms outlined in the Privacy Policy.
